JetLink Pro Cloud Platform
These Terms and Conditions ("Terms") govern access to and use of the JetLink Pro Cloud Platform and related services provided by JBI Waterjet BV ("Provider", "we", "us", or "our").
1. Scope and Applicability
1.1 These Terms apply to all agreements for access to and use of the JetLink Pro Platform, JetLink Pro Services, and any related modules between JBI Waterjet BV and the Customer ("you", "your").
1.2 By creating an account, accessing, or using JetLink Pro, you agree to be bound by these Terms.
1.3 These Terms apply to business customers (B2B) and, where applicable, consumers (B2C). Mandatory consumer rights under EU law are preserved and specified where applicable.
1.4 Any deviating terms and conditions of the Customer shall not apply unless expressly agreed to in writing by JBI Waterjet BV.
1.5 These Terms govern the JetLink Pro Cloud Platform as a whole. Hardware-specific terms for connected equipment (including Sandman abrasive feeders) may be governed by separate product agreements and warranty policies.
2. Definitions
- "Platform" or "JetLink Pro Platform" refers to the JetLink Pro Cloud Platform, including web application, mobile access, APIs, dashboards, analytics, and related cloud services
- "Services" or "JetLink Pro Services" refers to all platform features including asset management, monitoring, historical data, analytics, reporting, alarms, maintenance tracking, predictive maintenance, AI-assisted diagnostics, inventory management, fleet management, and multi-site management
- "Connected Equipment" refers to any device, sensor, PLC, gateway, edge device, or third-party system connected to the Platform
- "Customer Data" refers to operational data, uploaded content, and configuration data submitted by or generated for the Customer through use of the Platform
- "Organization" refers to the legal entity or account holder under which users access the Platform
- "Consumer" means any natural person acting for purposes outside their trade, business, or profession (as defined by EU law)
3. Platform Description and Services
3.1 JetLink Pro is an industrial IoT cloud platform for abrasive waterjet cutting systems and related manufacturing equipment. The Platform may connect to, monitor, and manage:
- Waterjet pumps and intensifiers
- Abrasive feeders and metering systems
- Cutting heads and mixing tube assemblies
- Motion systems, sensors, and PLCs
- Industrial gateways and edge devices (including JetLink Edge)
- Third-party equipment and vendor integrations
- Future JetLink modules and connected devices
3.2 Platform capabilities include asset management, live and historical telemetry, analytics, dashboards, reporting, alarms and notifications, maintenance tracking, predictive maintenance, AI-assisted diagnostics and recommendations, consumption analytics, spare part tracking, inventory management, fleet management, multi-site management, and future API integrations.
3.3 Features, specifications, and availability are as described in platform documentation, service descriptions, or order confirmations. We may enhance, modify, or discontinue features with reasonable notice where practicable.
3.4 JetLink Pro is provided as Software-as-a-Service (SaaS) and requires internet connectivity. Mobile access, APIs, and edge connectivity are provided where supported and enabled.
3.5 These Terms apply to current and future platform modules, including but not limited to JetLink Edge, JetLink AI, JetLink Predictive Maintenance, JetLink Inventory, and future analytics or automation modules, unless separately agreed otherwise.
4. User Accounts and Access Control
4.1 Access to JetLink Pro requires a user account. Accounts are created by authorized administrators or by JBI Waterjet BV upon subscription or onboarding.
4.2 The Customer is responsible for:
- Maintaining the confidentiality and security of all login credentials
- Ensuring that only authorized personnel access the Platform
- Promptly notifying us of any suspected unauthorized access or credential compromise
- All activities conducted under its Organization's accounts
4.3 The Customer designates an Organization owner or administrator responsible for user provisioning, role assignment, and access control within the Platform.
4.4 We may suspend or terminate account access immediately if we reasonably believe there has been a security breach, unauthorized access, violation of these Terms, or non-payment.
4.5 Authentication mechanisms (including passwords, multi-factor authentication, or single sign-on) must be used in accordance with our security guidelines. Shared credentials among individual users are prohibited.
5. Contract Formation and Subscription
5.1 Service descriptions on our website or in marketing materials constitute invitations to subscribe, not binding offers.
5.2 Your order or subscription request constitutes a binding offer to purchase access to JetLink Pro Services.
5.3 We reserve the right to accept or decline orders at our discretion.
5.4 A binding contract is formed when we send an order confirmation, activate your account, or provide access to the Platform, whichever occurs first.
6. Prices and Payment Terms
6.1 All prices are in Euro (EUR) unless otherwise stated.
6.2 Prices include applicable VAT for customers within the EU where required.
6.3 For B2B customers:
- Payment terms: Net 30 days from invoice date (unless otherwise agreed)
- Late payment interest: 8% above the ECB reference rate (pursuant to EU Late Payment Directive 2011/7/EU)
- We reserve the right to suspend Platform access for overdue accounts
6.4 For consumer customers, payment is due as specified at checkout or in the order confirmation.
6.5 Subscription fees, usage-based charges, and add-on module fees are as specified in the applicable order or pricing schedule.
7. Connected Equipment and Onboarding
7.1 The Customer is responsible for connecting, configuring, and maintaining Connected Equipment in accordance with applicable documentation and local regulations.
7.2 The Customer is responsible for:
- Network connectivity between Connected Equipment and the Platform
- Accurate device registration, naming, and organizational assignment
- Compliance with local electrical, safety, and operational regulations
- Physical installation and commissioning of hardware where applicable
7.3 Onboarding includes account setup, device registration, initial configuration, and integration of supported equipment types.
7.4 JetLink Pro does not warrant compatibility with all third-party equipment. Supported integrations are as documented at the time of connection.
8. Platform Availability and Maintenance
8.1 We target Platform availability of 99.5% uptime on a monthly basis, excluding scheduled maintenance, emergency maintenance, force majeure events, and factors outside our reasonable control.
8.2 Platform availability is not guaranteed. Service levels may vary by subscription tier or agreement.
8.3 We may perform scheduled maintenance with reasonable advance notice where practicable (typically at least 7 days).
8.4 Emergency maintenance may be performed without prior notice to address security vulnerabilities, critical defects, or infrastructure failures.
8.5 We reserve the right to modify Platform features, suspend access for breach of these Terms, or perform updates necessary for security and operational integrity.
9. Data Ownership, Processing, and Export
9.1 The Customer retains ownership of Customer Data, including operational telemetry, uploaded content, configuration data, and organizational information.
9.2 The Customer grants JBI Waterjet BV a limited, non-exclusive right to process Customer Data solely to provide, maintain, secure, and improve the JetLink Pro Services, and as otherwise described in our Privacy Policy.
9.3 We may use anonymized and aggregated data derived from Customer Data for analytics, benchmarking, product improvement, machine learning, service optimization, and industry insights, provided that such data cannot reasonably identify the Customer or its operations.
9.4 Upon written request, the Customer may export Customer Data in a commonly used, machine-readable format (such as CSV or JSON), subject to technical feasibility and applicable retention periods.
9.5 Historical data retention is subject to subscription terms and platform retention policies. Data beyond the retention period may be archived or deleted.
9.6 Upon termination, the Customer may request export of Customer Data within 30 days. After this period, data may be permanently deleted in accordance with our retention policy.
10. Cybersecurity
10.1 We implement reasonable technical and organizational measures to protect the Platform and Customer Data. However, JetLink Pro cannot guarantee protection against all cyber threats, attacks, or unauthorized access.
10.2 The Customer is responsible for:
- Local network security and segmentation
- Firewall configuration and network access controls
- Endpoint security on devices used to access the Platform
- Credential management, including strong passwords and multi-factor authentication where available
- Security of Connected Equipment and on-premises gateways
10.3 The Customer must promptly report suspected security incidents affecting the Platform or Connected Equipment to security@jbiwaterjet.com.
11. Predictive Maintenance and Analytics Disclaimer
11.1 Maintenance predictions, remaining life calculations, failure predictions, and service interval recommendations provided by JetLink Pro are estimates based on available data and models.
11.2 Such outputs do not constitute engineering advice, safety certification, or a guarantee of equipment condition or performance.
11.3 The Customer remains solely responsible for inspection, maintenance scheduling, spare parts procurement, and compliance with manufacturer requirements and applicable safety regulations.
12. Artificial Intelligence Disclaimer
12.1 JetLink Pro may provide AI-assisted diagnostics, recommendations, summaries, or automated insights. AI-generated outputs may be inaccurate, incomplete, or outdated.
12.2 AI-generated suggestions are informational only and must not be considered engineering, legal, financial, safety, or operational advice.
12.3 The Customer remains responsible for verifying AI outputs and for all operational, maintenance, and business decisions based on Platform data or recommendations.
13. Third-Party Integrations
13.1 JetLink Pro may integrate with third-party systems, APIs, cloud services, equipment vendors, and data providers.
13.2 Third-party integrations are provided "as-is". We do not control and are not responsible for changes, outages, data handling, or discontinuation by third-party vendors.
13.3 Third-party APIs, protocols, and services may be modified or discontinued without notice. We will make reasonable efforts to adapt integrations but do not guarantee continued compatibility.
13.4 Use of third-party services may be subject to separate terms and conditions of the respective provider.
14. Intellectual Property Rights
14.1 All intellectual property rights in the Platform, software, documentation, AI models, analytics, and related materials remain the exclusive property of JBI Waterjet BV or its licensors.
14.2 The Customer receives a non-exclusive, non-transferable license to use JetLink Pro Services for its internal business operations during the subscription term.
14.3 Reverse engineering, decompiling, or disassembling the Platform or its components is prohibited except to the extent permitted by mandatory law.
14.4 Trademarks, logos, and trade names (including JetLink Pro) remain the property of their respective owners.
15. Liability and Limitation of Liability
15.1 To the extent permitted by law, we exclude liability for:
- Production losses and lost profits
- Business interruption and downtime
- Missed maintenance or incorrect predictions
- Data loss or corruption beyond our reasonable control
- Supply chain interruptions
- Equipment damage caused by Customer decisions or third-party actions
- Third-party system, API, or integration failures
- Internet, telecommunications, or cloud provider outages
- Indirect, incidental, consequential, or special damages
15.2 Our aggregate liability for direct damages arising from or related to these Terms or the JetLink Pro Services is limited to the fees paid by the Customer for the Services in the twelve (12) months preceding the claim, or EUR 10,000, whichever is lower, unless mandatory law provides otherwise.
15.3 The above limitations do not apply to:
- Personal injury or death caused by our negligence
- Fraudulent misrepresentation
- Liability that cannot be excluded under mandatory consumer protection law
- Damages caused by intentional misconduct or gross negligence
15.4 For consumer customers within the EU, statutory liability under consumer protection law remains unaffected.
16. Data Protection and Privacy
16.1 We process personal data in accordance with the General Data Protection Regulation (GDPR) and applicable national data protection laws.
16.2 Details of data collection, processing, and your rights are set out in our Privacy Policy.
16.3 The Platform processes operational and account data including device identification, telemetry, user account information, and organizational configuration.
16.4 Data is hosted on cloud infrastructure with primary storage in the EU (europe-west1, Belgium) where applicable.
17. Vendor Managed Inventory and Supply Services
17.1 Where enabled, vendor managed inventory (VMI) and automated resupply services operate based on consumption and inventory data within the Platform.
17.2 VMI requires an active Platform subscription, agreement with an authorized supplier, and accurate inventory configuration.
17.3 The Customer authorizes designated suppliers to access relevant consumption and delivery data as configured.
17.4 The Customer remains responsible for verifying deliveries and settling invoices with suppliers.
18. Right of Withdrawal (EU Consumers Only)
14-day withdrawal right for EU consumers:
18.1 If you are a consumer within the EU, you may have the right to withdraw from this contract within 14 days without giving any reason.
18.2 The withdrawal period expires 14 days from the day the contract is concluded.
18.3 To exercise your right of withdrawal, inform us at info@jbiwaterjet.com.
18.4 If you withdraw, we will reimburse payments without undue delay and in any event not later than 14 days from receiving your withdrawal notice.
18.5 The right of withdrawal may not apply if digital services have been fully performed with your prior express consent and acknowledgment that you lose your withdrawal right.
19–25. Additional Terms
19. Export Control and Sanctions
The Customer agrees to comply with all applicable export control laws and shall not use the Platform in prohibited countries or with sanctioned entities.
20. Force Majeure
Neither party is liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, government actions, strikes, internet or telecommunications failures, and cloud provider outages. If force majeure continues for more than 90 days, either party may terminate.
21. Term and Termination
Subscriptions run for the agreed term and renew as specified in the order. We may terminate access for material breach with 30 days' notice to remedy, or immediately for security incidents or non-payment. Upon discontinuation of the Platform, we will provide at least 12 months' notice where practicable.
22. Amendments to Terms
We may amend these Terms with reasonable notice (minimum 30 days). Continued use after the effective date constitutes acceptance. For material adverse changes, the Customer may terminate within 30 days of notice.
23. Governing Law and Jurisdiction
Governed by the laws of the Netherlands. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. B2B disputes: exclusive jurisdiction in the Netherlands. Consumer disputes: courts of your country of residence or EU ODR platform .
24. Severability
If any provision is invalid, the remaining provisions remain in effect. The invalid provision shall be replaced by a valid provision that most closely reflects the economic intent of the original.
25. Entire Agreement
These Terms, together with the JetLink Pro Privacy Policy and any applicable order confirmations, constitute the entire agreement regarding JetLink Pro Services. Hardware-specific warranty terms for connected products remain governed by separate product policies.
